Terms and Conditions

These Terms and Conditions govern your access to and use of the Indexfy website and the Top5 Crypto Index smart contracts. Please read them carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Indexfy website or interacting with the Top5 Crypto Index smart contracts on Base (together, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Indexfy provides a website interface for interacting with the Top5 Crypto Index — a set of open, permissionless smart contracts deployed on the Base blockchain that allow authorized addresses to deposit supported crypto assets in exchange for an ERC-20 share token, and to redeem that share token for a proportional slice of the underlying assets held by the vault contract. Indexfy does not custody user funds, execute trades or swaps on a user's behalf, or act as a broker, exchange, custodian, or investment adviser.

3. Eligibility

You must be legally capable of entering into a binding contract to use the Service. The Service is not offered to residents of, or persons located in, any jurisdiction where its use would be illegal, or where Indexfy is prohibited from offering it, including any jurisdiction subject to comprehensive sanctions administered by the United States, the European Union, the United Kingdom, or the United Nations. You are solely responsible for determining whether your use of the Service complies with the laws applicable to you, including any tax obligations.

4. Not Investment Advice

Nothing on the website or in any related materials constitutes financial, investment, legal, or tax advice. The Top5 Crypto Index is not a security, fund, or regulated investment product, and its composition, weights, and fee parameters may change at any time at the discretion of the contract owner. You are solely responsible for evaluating the merits and risks of interacting with the Service before doing so.

5. Risks of Use

Interacting with the Service carries significant risk, including but not limited to:

  • Smart contract risk. The Service relies on unaudited smart contracts. Bugs, exploits, or unintended behavior could result in the partial or total loss of assets deposited into the vault.
  • Oracle risk. Share pricing depends on third-party Chainlink price feeds. Feed downtime, manipulation, or inaccurate reporting could affect deposit and redemption amounts.
  • Synthetic asset risk. The BNB leg of the index is represented by a synthetic token collateralized in USDC rather than real BNB. Its solvency depends on the collateralization mechanism described in the protocol's public documentation and is not backed 1:1 by BNB.
  • Access control risk. Deposits and redemptions require prior authorization from the contract owner, who may grant, decline, or revoke authorization at their discretion.
  • Volatility and liquidity risk. The value of the underlying assets, and therefore of the share token, can fluctuate significantly and rapidly, and there is no guarantee that a liquid market for any underlying asset or the share token will exist at any given time.
  • No recourse. Blockchain transactions are generally irreversible. Nobody, including the protocol operators, can reverse transactions, recover lost private keys, or refund assets sent in error.

6. Non-Custodial Nature

Indexfy does not hold, control, or have access to your private keys, wallet, or assets at any time. All transactions are executed directly between your wallet and the relevant smart contracts. You are solely responsible for the security of your wallet and private keys.

7. Fees

The vault contract charges a deposit fee and a redemption fee, each currently set at 0.2%, as disclosed on the website. These fees are enforced by the smart contract and may be adjusted by the contract owner within the maximum cap defined in the contract code. There is no recurring management, custody, or performance fee for simply holding the share token. You are responsible for any network (gas) fees and any fees charged by your wallet provider or other third-party services.

8. Access Control and Authorization

Only addresses explicitly authorized by the contract owner may deposit into or redeem from the vault. Authorization may be granted or revoked at any time, for any reason, without notice. Revoking authorization does not affect share tokens an address already holds, but prevents further deposits or redemptions from that address until authorization is restored.

9. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Launder money, finance terrorism, or engage in any other illegal activity.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, including its smart contracts, oracle feeds, or supporting infrastructure.
  • Access the Service if you are a resident of, or located in, a jurisdiction subject to comprehensive sanctions, or if you are a sanctioned person or entity under applicable law.

10. Third-Party Services

The Service integrates third-party infrastructure, including wallet providers (via RainbowKit/WalletConnect), blockchain RPC providers, and Chainlink price oracles. We do not control and are not responsible for the availability, security, or accuracy of these third-party services.

11. Intellectual Property

The Indexfy name, logo, and website content are the property of Indexfy and its contributors, except where otherwise noted. The smart contract source code may be separately licensed as indicated in its repository. Nothing in these Terms grants you any right to use the Indexfy name or branding without prior written permission.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the fullest extent permitted by law, we and our contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or digital assets, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of the Service is limited to the greater of one hundred US dollars (US$100) or the amount of fees, if any, you paid to us in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless us and our contributors from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.

15. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the website at any time. These Terms may be updated periodically; the "Last updated" date above reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which you access the Service, without regard to its conflict-of-law principles, except to the extent superseded by applicable mandatory law.
